Welcome to Durga Industries. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Durga Industries ("Company," "we," "our," or "us"), governing your access to and use of our website, products, and services.

By accessing our website at durgaindustries.shop, placing an order, contacting us, or otherwise engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

These Terms apply to all visitors, users, and clients of Durga Industries, including but not limited to businesses, individuals, and corporate entities. You represent that you have the legal authority to enter into this agreement on behalf of yourself or any entity you represent.

Durga Industries provides industrial manufacturing, custom fabrication, supply and distribution, quality inspection, maintenance and repair, and industrial consulting services. Our services are subject to availability and may vary based on location, capacity, and other factors.

We reserve the right to:

• Modify, suspend, or discontinue any aspect of our services at any time with or without notice
• Refuse service to any individual or entity at our sole discretion
• Update pricing, specifications, and product offerings without prior notice
• Limit the quantity of products available to any individual, business, or region
• Correct any errors, inaccuracies, or omissions in product descriptions or pricing

All product descriptions, images, and specifications are provided for informational purposes and are subject to change. While we strive for accuracy, we do not warrant that descriptions or other content on our platform are complete, reliable, current, or error-free.

All orders placed with Durga Industries are subject to acceptance and availability confirmation. We reserve the right to accept or decline any order at our discretion. An order is only confirmed upon receipt of our written confirmation and full or agreed partial payment.

Payment Terms:

• Payment is due in accordance with the invoice terms agreed upon at the time of order placement
• We accept payment via bank transfer, cheque, or other methods as specified in the invoice
• All prices are exclusive of applicable GST, taxes, and shipping charges unless explicitly stated otherwise
• Late payments may be subject to interest charges at the rate specified in the invoice or as applicable under law
• Custom orders may require advance payment before commencement of production

Pricing: All prices quoted are in Indian Rupees (INR) unless otherwise specified. Prices are subject to change without notice. The price applicable to your order will be the price confirmed at the time of order acceptance.

Durga Industries endeavours to fulfil and deliver all orders within the timeframe agreed at the time of order confirmation. Delivery timelines are estimates and may be affected by factors beyond our control, including but not limited to:

• Logistical delays by third-party courier or transport partners
• Natural disasters, strikes, or other force majeure events
• Incomplete or incorrect delivery address provided by the client
• Customs or regulatory delays for interstate or inter-region deliveries
• Production delays due to material unavailability or technical issues

Risk of loss and title for products pass to the buyer upon dispatch from our facility unless otherwise agreed in writing. Clients are responsible for inspecting goods upon receipt and must report any damage or discrepancies within 48 hours of delivery.

Shipping costs, if applicable, will be communicated at the time of quotation and added to the final invoice. For bulk orders, special delivery arrangements may be made and agreed separately.

We take great pride in the quality of our products and services. If you receive a product that is defective, damaged, or not as per specifications agreed in writing, you may be eligible for a return or replacement.

Return Conditions:

• Return requests must be raised within 7 days of receiving the product
• Products must be unused, in original condition, and in original packaging
• Custom-fabricated or made-to-order products are generally non-returnable unless defective
• Proof of purchase (invoice) must accompany all return requests
• Returns must be pre-approved by our team in writing before goods are sent back

Refund Policy: Upon approval of a valid return, we will offer a replacement product or a credit note at our discretion. Cash refunds may be considered in exceptional circumstances and will be processed within 14 business days of approval.

We do not accept returns for products that have been modified, used, or damaged by the client after delivery. Service fees for consulting, inspection, or maintenance work are generally non-refundable once the service has been rendered.

All content on the Durga Industries website, including but not limited to text, graphics, logos, images, product descriptions, and software, is the exclusive property of Durga Industries and is protected by Indian and international intellectual property laws.

• You may not reproduce, distribute, modify, or create derivative works of our content without prior written consent
• Our trademarks, trade names, and logos may not be used in connection with any product or service without our express written permission
• Any unauthorised use of our intellectual property will be considered infringement and may result in legal action
• Client-submitted content, designs, or drawings remain the property of the client, but by submitting them to us, you grant us a limited licence to use them for fulfilment purposes

Any feedback, suggestions, or ideas you provide regarding our products or services may be used by us without compensation or attribution to you, unless otherwise agreed in writing.

By using our services, you agree not to engage in any of the following prohibited activities:

• Providing false, misleading, or fraudulent information in any communication with us
• Attempting to gain unauthorised access to our systems, servers, or data
• Using our services for any illegal, unlawful, or prohibited purpose
• Reverse engineering, decompiling, or disassembling any software or systems we use
• Transmitting any viruses, malware, or other harmful code through our platforms
• Harassing, threatening, or abusing our employees, agents, or other clients
• Engaging in any activity that could damage our reputation or business interests
• Reselling our products without prior written authorisation

Violation of these prohibitions may result in immediate termination of your relationship with Durga Industries, legal action, and reporting to appropriate authorities.

You further acknowledge that by submitting your contact form or interacting with our services, you agree to receive communication from My Inbox Media® via SMS, email, OBD, Google RCS, and WhatsApp for services, offers, updates, and you agree to their Terms & Conditions and Privacy Policy.

Our services and products are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, to the fullest extent permissible by applicable law. Durga Industries expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or completeness of any information provided
• Warranties that defects will be corrected within a specific timeframe

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. In such cases, the scope and duration of such warranty shall be the minimum permitted under applicable law.

To the fullest extent permitted by applicable law, Durga Industries shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of our services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising from your use of our services shall not exceed the amount paid by you to us for the specific product or service giving rise to the claim in the three months preceding the event that caused the loss.

This limitation of liability applies regardless of the basis of the claim (contract, tort, negligence, strict liability, or otherwise) and shall survive any termination of this agreement.

You agree to indemnify, defend, and hold harmless Durga Industries, its officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of our services or products
• Your violation of these Terms and Conditions
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights, including intellectual property rights
• Any false or misleading information provided by you

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defences.

These Terms shall be governed by and construed in accordance with the laws of India, specifically the laws applicable in the State of Maharashtra, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our services shall first be attempted to be resolved amicably through direct negotiation. If an amicable resolution cannot be reached within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

For consumer disputes, you may also approach appropriate consumer dispute redressal forums as provided under the Consumer Protection Act, 2019 or other applicable legislation.

Durga Industries reserves the right to terminate or suspend your access to our services and your relationship with us at any time, with or without cause or notice, including but not limited to cases where:

• You violate any provision of these Terms and Conditions
• We are unable to verify or authenticate any information you provide
• Your conduct is believed to cause legal liability for you, other users, or us
• Non-payment of outstanding dues beyond agreed credit terms

Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to modify these Terms at any time at our sole discretion. Changes will be effective immediately upon posting to our website. We will indicate the "Last Updated" date at the top of these Terms whenever changes are made.

For material changes, we will make reasonable efforts to notify you via email or by placing a prominent notice on our website. Your continued use of our services after the effective date of changes constitutes your acceptance of the revised Terms.
